| Terms and Conditions |
1. DEFINITIONS In this Agreement, unless the context otherwise requires: "Agreement" means these terms and conditions together with the Application Form; "Charges" means the Monthly Recurring Charges (MRC) and One-Time Charges (OTC) as set out in the Application Form; "Commencement Date" means the date on which the Service is first made available to the Customer; "Customer" means the person or entity whose name appears in the Application Form; "Equipment" means any hardware, cabling or other equipment supplied by SPTel for the provision of the Service; "Service" means the Enterprise Internet Lite service(s) described in the Application Form; "SPTel" means SPTel Pte. Ltd. (Company Registration No. 199700517K); "Term" means the service commitment period specified in the Application Form. 2. SERVICE COMMENCEMENT 2.1 The Service shall commence on the Commencement Date and shall continue for the Term unless terminated earlier in accordance with this Agreement. 2.2 SPTel shall use reasonable endeavours to install the Service by the Service Required Date but shall not be liable for any delay in installation due to factors beyond its reasonable control. 2.3 The Customer shall provide access to the Premises and ensure that the Premises are ready for installation on the agreed installation date. A minimum of fourteen (14) working days' notice must be given for scheduling of installation. 3. CHARGES AND PAYMENT 3.1 The Customer shall pay the Charges as specified in the Application Form. All charges are exclusive of Goods and Services Tax (GST) unless otherwise stated. 3.2 Invoices shall be issued monthly in advance and are payable within fourteen (14) days of the invoice date. 3.3 Late payment shall attract interest at the rate of 2% per month on all overdue amounts. 3.4 SPTel reserves the right to suspend the Service if any amount remains unpaid after fourteen (14) days from the due date. 3.5 The One-Time Charge (OTC) is payable upon signing of this Agreement and is non-refundable. 4. CUSTOMER OBLIGATIONS 4.1 The Customer shall use the Service only for lawful purposes and shall not resell or share the Service with any third party without SPTel's prior written consent. 4.2 The Customer shall not use the Service in a manner that would violate any applicable laws, regulations or SPTel's Acceptable Use Policy. 4.3 The Customer shall maintain the Equipment in good working condition and shall not allow any unauthorised modifications to the Equipment. 4.4 The Customer shall promptly notify SPTel of any fault, damage or loss of Equipment. 4.5 The Customer shall ensure that their internal network and systems are compatible with the Service and shall be responsible for any costs associated with such compatibility. 5. EQUIPMENT 5.1 All Equipment supplied by SPTel remains the property of SPTel at all times. 5.2 The Customer shall be liable for any loss or damage to the Equipment during the Term of this Agreement. 5.3 Upon termination of this Agreement, the Customer shall return all Equipment to SPTel in good working condition within seven (7) days. 6. SERVICE LEVELS 6.1 SPTel shall endeavour to maintain the Service in accordance with the Service Level Agreement set out in Schedule D. 6.2 Planned maintenance shall be carried out with prior notice to the Customer, usually outside business hours. 6.3 SPTel shall not be liable for any service interruption caused by force majeure events, acts of the Customer, or third-party network issues. 7. TERMINATION 7.1 Either party may terminate this Agreement upon giving not less than thirty (30) days' prior written notice. 7.2 If the Customer terminates this Agreement before the expiry of the Term, the Customer shall pay an early termination fee equivalent to fifty percent (50%) of the outstanding MRC for the remaining Term. 7.3 SPTel may terminate this Agreement immediately if the Customer is in breach of any material term of this Agreement and such breach is not remedied within fourteen (14) days of written notice. 8. LIMITATION OF LIABILITY 8.1 SPTel's aggregate liability to the Customer under this Agreement shall not exceed the Charges paid by the Customer in the three (3) months preceding the event giving rise to liability. 8.2 SPTel shall not be liable for any indirect, consequential, special or incidental losses or damages of any nature whatsoever. 8.3 SPTel shall not be liable for any loss of data, revenue, profits or business opportunity arising from service interruption. 9. DATA PROTECTION 9.1 Both parties shall comply with the Personal Data Protection Act 2012 (PDPA) and any applicable data protection regulations. 9.2 SPTel may collect, use and disclose Customer's personal data for the purposes of providing the Service and billing. 9.3 The Customer consents to SPTel sharing Customer information with its partners and subcontractors as necessary for the provision of the Service. 10. FORCE MAJEURE 10.1 Neither party shall be liable for any failure or delay in performance under this Agreement due to causes beyond its reasonable control, including acts of God, natural disasters, government actions, or network failures attributable to third-party providers. 11. AMENDMENT 11.1 SPTel may amend these terms and conditions upon giving thirty (30) days' prior written notice to the Customer. 11.2 Continued use of the Service after the effective date of any amendment shall constitute acceptance of the amended terms. 12. GOVERNING LAW 12.1 This Agreement shall be governed by and construed in accordance with the laws of Singapore. 12.2 Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Singapore.

SME PROMOTION TERMS AND CONDITIONS 1. ELIGIBILITY 1.1 The SME promotion is available only to customers who qualify as Small and Medium Enterprises (SMEs) as defined by Enterprise Singapore. 1.2 Customer must provide supporting documentation to verify SME status prior to activation. SPTel reserves the right to reject applications that do not meet eligibility criteria. 1.3 The SME promotion rate applies for the duration of the contracted service term. Changes in the Customer's SME status during the term do not affect the contracted rate. 2. PROMOTIONAL PRICING 2.1 Promotional pricing is applicable only for the service configurations specified in this Application Form. 2.2 Any changes to the service configuration, bandwidth, or term may result in forfeiture of promotional pricing. 2.3 The promotional rate applies for the contracted term only. Upon renewal, prevailing commercial rates shall apply unless a new promotional agreement is entered into. 3. NLT PATH REQUIREMENT 3.1 For services delivered via Next-Generation Nationwide Broadband Network (Next Gen NBN) using NLT infrastructure, additional SME declaration requirements apply. 3.2 Customer must complete and sign the SME Declaration Form as a condition precedent to activation. 3.3 False declaration of SME status shall entitle SPTel to immediately terminate the service and recover the promotional discount amount provided during the service period. 4. TERMINATION OF PROMOTIONAL BENEFITS 4.1 SPTel reserves the right to withdraw promotional pricing if the Customer is found to be ineligible or has misrepresented their eligibility status. 4.2 Promotional benefits shall cease upon early termination of service, and prevailing commercial rates for the service period shall be applied retroactively.

UNDERTAKING AND ACCEPTANCE By signing this Application Form, the Customer (hereinafter referred to as "Applicant") confirms and undertakes as follows: 1. The Applicant has read, understood and agrees to be bound by the Terms and Conditions set out in this Application Form and all applicable schedules thereto. 2. The Applicant confirms that all information provided in this Application Form is true, accurate and complete. The Applicant acknowledges that SPTel Pte. Ltd. relies on such information for the provision of services and that any misrepresentation may result in termination of service. 3. The Applicant is duly authorised to enter into this Agreement on behalf of the company/entity named herein and has obtained all necessary corporate approvals to do so. 4. The Applicant acknowledges that this Agreement, once accepted by SPTel Pte. Ltd., constitutes a legally binding contract between SPTel Pte. Ltd. and the Applicant. 5. The Applicant confirms that the installation site(s) specified herein are available for SPTel installation personnel to access on the agreed installation date, and that all necessary building management approvals have been or will be obtained prior to installation. 6. For SME promotional applications: The Applicant confirms and warrants that the company meets all SME eligibility criteria as defined by Enterprise Singapore, and agrees to provide supporting documentation upon SPTel's request. I / We hereby authorise SPTel Pte. Ltd. to activate the services as described in this Application Form subject to the Terms and Conditions herein.

SCHEDULE A — TECHNICAL SPECIFICATIONS A1. SERVICE DESCRIPTION Enterprise Internet Lite provides dedicated business-grade broadband connectivity via SPTel's fibre optic network infrastructure across Singapore. A2. ACCESS TECHNOLOGY A2.1 SPTel Fibre (GPON): Point-to-multipoint passive optical network delivering symmetric bandwidth up to 1Gbps. A2.2 SPTel Fibre (XGSGPON): 10-Gigabit-capable symmetric passive optical network for Xtreme tier services. A3. IP ADDRESSING A3.1 Each service includes one (1) static public IP address. A3.2 Additional static IP addresses may be provisioned upon request subject to additional charges. A3.3 IP addresses remain the property of SPTel and shall be returned upon service termination. A4. ROUTER CONFIGURATION (where applicable) A4.1 Default DHCP range: 192.168.0.1/24 A4.2 Router admin credentials: Circuit ID (provided upon installation) A4.3 Customer is responsible for all internal network configuration beyond the router/CPE. A5. SERVICE DEMARCATION POINT A5.1 SPTel's responsibility ends at the Optical Network Terminal (ONT) or Ethernet Distribution Device (EDD)/Media Converter (MC). A5.2 Customer-side cabling, patch cables, and LAN infrastructure are the Customer's responsibility.

SCHEDULE B — ACCEPTANCE TEST PROCEDURE B1. PURPOSE The Acceptance Test is performed upon completion of installation to verify that the Service meets the minimum performance criteria before handover. B2. TEST CRITERIA B2.1 Connectivity Test: Successful establishment of internet connectivity. B2.2 Speed Test: Minimum 80% of contracted bandwidth sustained over a 60-second LAN-to-internet throughput test. B2.3 Latency Test: Round-trip latency to Singapore internet exchanges not to exceed 20ms under normal load. B2.4 Packet Loss: Less than 0.1% packet loss over a 5-minute ICMP test sequence. B3. TEST PROCEDURE B3.1 Tests shall be conducted by SPTel's installation technician using approved testing equipment. B3.2 The Customer's representative shall be present during the acceptance test. B3.3 Results shall be documented and signed by both parties. B3.4 Any failure shall be remedied and re-tested before formal service handover. B4. CONDITIONAL ACCEPTANCE B4.1 If the Customer requires the service to be activated before all acceptance criteria are met, a conditional acceptance form shall be signed. B4.2 SPTel shall remedy any deficiencies within the agreed SLA timeframe.

SCHEDULE C — CHARGES SCHEDULE C1. RECURRING CHARGES Monthly Recurring Charges (MRC) are as specified in the Application Form. MRC includes: - Provision of the contracted internet bandwidth - Static public IP address (1 unit) - CPE/router rental where applicable - 24/7 network monitoring and support C2. ONE-TIME CHARGES One-Time Charges (OTC) are as specified in the Application Form and include: - Installation and cabling (standard installation) - CPE configuration and testing - First month prorated charges (if applicable) C3. ADDITIONAL CHARGES The following may attract additional charges not included in the standard MRC/OTC: - Non-standard installation requiring building approval coordination - Additional static IP addresses - After-hours installation requests - Service relocation to a new premises - Early termination fee as per Clause 7.2 of the Terms and Conditions C4. GOODS AND SERVICES TAX All charges are subject to prevailing Singapore Goods and Services Tax (GST) at the applicable rate.

SERVICE CREDITS D3.1 If the monthly availability falls below 99.5%, the Customer shall be entitled to service credits as follows: - 99.5% – 99.0%: 5% of monthly MRC - 99.0% – 98.0%: 10% of monthly MRC - Below 98.0%: 15% of monthly MRC D3.2 Service credits are the Customer's sole remedy for service availability failures. D3.3 Maximum service credits in any month shall not exceed 15% of the monthly MRC. D4. FAULT REPORTING D4.1 Customer shall report faults via the SPTel customer portal or helpdesk hotline. D4.2 A trouble ticket shall be issued for every fault report. D4.3 Customer shall provide full cooperation in fault diagnosis and resolution. D5. PLANNED MAINTENANCE D5.1 SPTel shall provide at least seventy-two (72) hours' prior notice for planned maintenance. D5.2 Emergency maintenance may be performed with shorter notice when required to protect network integrity.
